FlowStone Partners Announces Completed Proxy

CHICAGO, March 10, 2026

We are writing to provide an update following the special shareholder meetings held on March 3, 2026. FlowStone Partners LLC (the “Adviser”) is pleased to announce that all proposals submitted to shareholders were approved, including the proposals to adopt a new investment management agreement and elect new members to the Board of Trustees of the FlowStone Opportunity Fund. These proposals received overwhelming shareholder support, with more than 99% of votes cast in favor.

 

As previously communicated on December 1, 2025, the Adviser entered into a Unit Purchase Agreement under which a subsidiary of Willis Towers Watson (“WTW”) will acquire a controlling interest in the Adviser. Following the successful proxy vote, the Adviser expects the transaction to close on April 1, 2026, subject to customary closing conditions.

 

The transaction is not expected to result in any material changes to the Fund’s day-to-day management, investment objectives, or the services currently provided to the Fund. No shareholder action is required at this time.
